General terms and conditions of business

Scope
Open-Booking is a brand of MAX-TD pty. Ltd.

The terms and conditions apply for the entire business relationship between the customer and the MAX-TD pty. ltd..

Offers
MAX-TD offers are non-binding. Valid is the current price list and the individual prices referred of the personal offer.

Conclusion of contract
A contract is signed with the submission of the signed contract via E-mail or sending by mail AND the confirmation of the order by MAX-TD pty. ltd.

Data
The customer indemnifies MAX-TD pty. ltd. from all claims of third parties with regard to the information provided by the customer. In the event of data loss MAX-TD pty. ltd. is not liable and the customer agrees to submit all the necessary data again to MAX-TD pty. ltd. for free.

Privacy Policy
The contractor agrees that personal data are stored as part of the contract, changed and / or deleted and be transmitted to third parties in the context of necessity. This is especially necessary for the transmission of data for registration and or modification of a domain (web address) or the opening of accounts by MAX-TD in name of the customer.

Prices and Payments
The invoicing takes place in advance according to the current price list or the individually agreed price. All invoices are payable immediately and without deduction.

The services contracted by MAX-TD pty. ltd. are executed after payment and the submission of for the contract needed data.

If the customer is in arrears with payments due to MAX-TD pty. ltd., MAX-TD reserves the right not to carry out further services until payment of the outstanding amount. Costs caused by such delay will be taken by the customer.

Objections due to incorrectness or incompleteness of a periodic balance statement must be raised not later than within a period of six weeks after receipt of the invoice. If there are no objections in time the approval  is considered.

Australian Businesses pay an additional 10% GST.

Copyrights
The customer bears all legal responsibilities, with regard to copyright protection, protection of minors, Press Law and the “right to their own image.”

All pictures and texts, which are provided for publication, have to have the needed licenses and special approvals.

The copyright to all works created by MAX-TD pty. ltd. remains with MAX-TD pty. ltd..

Forwarded jobs
When a job is running its content typically in the form that MAX-TD pty. ltd. entrust a third party with the further execution, MAX-TD pty. ltd. fulfilled the job if it send the order in the own name to the third party. In these cases, the liability of MAX-TD pty. Ltd is limited to the careful selection and instruction of the third party.

Governing Law and Jurisdiction
For all contracts subject to Australian Law. The place of jurisdiction is Sydney.

Final Provisions
Deviations from these conditions are only effective if they are agreed in writing.
At the obligations arising from contracts which have been concluded on the basis of these terms and conditions, the legal successor to the customers of MAX-TD Pty. Ltd. are attached.

If these General Terms and Conditions and / or be included in other contractual arrangements an invalid provision, all other provisions shall remain without prejudice
